terms and conditionsThese terms govern access to the MedEazy public website, evaluation materials, authentication, and authorized use of the clinical decision support platform. By accessing our website or using authorized services, you agree to these terms. Hospital deployments are also subject to your organization’s written agreement with MedEazy.

Definitions
definitions“MedEazy,” “we,” “us,” and “our” refer to the entity operating the MedEazy platform and public website. “You” and “your” refer to visitors, evaluators, authorized users, and customer representatives. “Services” means the MedEazy clinical decision support software, APIs, integrations, documentation, and related support made available under authorization. “Customer” means a hospital, health system, or other organization with a written agreement for production or pilot use.
Eligibility and Authorized Access
eligibility and authorized accessThe clinical workspace is available only to authorized healthcare professionals, pharmacists, administrators, and other personnel invited by a Customer. You must be at least 18 years old and legally able to enter into binding terms.
Access is provided through individually assigned credentials. Sharing passwords, using another person’s account, or attempting to access tenants, facilities, or data outside your authorization is prohibited.
Public Website and Marketing Content
public website and marketing contentPublic pages describe capabilities that may vary by pilot scope, licensing, clinical governance approval, and tenant configuration. Screenshots, examples, and synthetic demonstrations are illustrative and may not reflect your enabled features.
Nothing on the public website constitutes medical advice, a diagnosis, a prescription, or a treatment recommendation. Marketing content does not create a treatment relationship between MedEazy and any patient.
Clinical Decision Support — Not Autonomous Care
clinical decision support — not autonomous careMedEazy provides advisory clinical decision support for review by qualified professionals. It does not autonomously diagnose, prescribe, dispense, administer treatment, or replace professional judgment, the electronic health record, independently verified references, or mandatory clinical review.
Customers and users remain solely responsible for clinical decisions, verification of outputs, documentation in the medical record, and compliance with hospital policies, professional standards, and applicable law.
Customer Agreements and Pilot Terms
customer agreements and pilot termsProduction and pilot deployments are governed by a separate order form, statement of work, or master services agreement that specifies scope, fees, service levels, data processing terms, integration boundaries, and clinical governance requirements. If there is a conflict between these public terms and a signed Customer agreement, the signed agreement controls for authorized workspace use.
Pilot programs may include limited users, facilities, rule sets, integrations, and duration. Features may be disabled, changed, or withdrawn during pilots with reasonable notice where contractually required.
Acceptable Use
acceptable useYou agree not to misuse the Services. Prohibited conduct includes, without limitation:
- Uploading malware, probing security controls, or attempting unauthorized access to any system or tenant.
- Scraping, bulk exporting, or reverse engineering clinical content except as expressly permitted in writing.
- Circumventing tenant isolation, licensing controls, print/export restrictions, or kill switches.
- Using the Services for non-clinical, unlawful, or deceptive purposes.
- Entering fabricated patient data into production environments except in designated training or sandbox contexts.
- Removing or obscuring provenance, version, severity, uncertainty, or safety indicators from outputs where the interface requires their display.

Intellectual Property and Content Licensing
intellectual property and content licensingMedEazy and its licensors retain all rights in the platform, software, documentation, trademarks, and proprietary rule and workflow logic. Licensed drug reference and third-party clinical content remain subject to separate content agreements and display, print, and export restrictions.
Customers receive a limited, non-exclusive, non-transferable right to use the Services during the authorized term for internal clinical and operational purposes. You may not sublicense, resell, or make the Services available to third parties except as permitted in your agreement.
Feedback you provide may be used to improve the Services without obligation to you, unless otherwise agreed in writing.
Confidentiality
confidentialityNon-public documentation, pricing, security materials, roadmaps, and technical specifications shared during evaluation or under NDA remain confidential. You agree not to disclose such materials except to your advisors under equivalent confidentiality obligations.
Availability, Support, and Changes
availability, support, and changesWe strive to maintain reliable Services but do not guarantee uninterrupted availability on the public website or in all pilot configurations. Maintenance, incidents, and degradation behavior are described in our Service Level and Support summary and Customer agreements.
We may modify features, content versions, rule packages, and integrations to improve safety, compliance, or performance. Material adverse changes to contracted Services will be handled per your agreement.
Disclaimers
disclaimersTHE SERVICES AND PUBLIC MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT CLINICAL OUTPUTS WILL BE COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR CLINICAL DECISION. SEE THE CLINICAL DECISION SUPPORT DISCLAIMER FOR INTENDED USE LIMITATIONS.
Limitation of Liability
limitation of liabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDEAZY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR CLINICAL OUTCOMES, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.
OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PUBLIC WEBSITE OR EVALUATION USE WILL NOT EXCEED THE GREATER OF INR 10,000 OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, UNLESS A SIGNED CUSTOMER AGREEMENT SPECIFIES OTHERWISE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
Indemnity
indemnityYou agree to indemnify and hold harmless MedEazy from claims arising from your misuse of the Services, violation of these terms, infringement by content you supply, or clinical decisions made by you or your organization, except to the extent caused by MedEazy’s breach of a signed Customer agreement or applicable law.
Suspension and Termination
suspension and terminationWe may suspend or terminate access immediately for security risk, suspected abuse, non-payment under contract, or material breach. Customers may terminate per their agreement. Upon termination, access ceases and data handling follows the agreed retention and export schedule.
Governing Law and Disputes
governing law and disputesThese terms are governed by the laws of India, without regard to conflict-of-law principles, unless a signed Customer agreement specifies a different governing law. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction for disputes arising from public website use, subject to any arbitration clause in your Customer agreement.
General
generalIf any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign in connection with a corporate transaction. Notices may be provided by email, in-product message, or posting on this site.
Effective date and version history will be published after legal sign-off. Continued use after updates constitutes acceptance where permitted by law.
